Terms of Service

Effective Date: May 25, 2026

These Terms of Service ("Terms") govern your access to and use of the AI OS Orchestration Lab platform ("Service"), operated by AI OS Orchestration Lab ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To access paid features of the Service, you must create an account by providing a valid email address and completing payment through our payment processor (Stripe). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.

2. Billing

The Service is offered under two distinct commercial models. The billing terms that apply to you depend on which you purchase. Prices are displayed on our pricing page and are processed securely through Stripe; we do not store your credit card information on our servers.

2(a). One-Time License Purchases (Self-Hosted)

Self-hosted licenses are sold as one-time payments, not recurring subscriptions:

  • Community — free.
  • Business License — $1,997 USD, one-time, perpetual.
  • Enterprise License — $4,997 USD, one-time, perpetual.
  • Business → Enterprise upgrade — $3,000 USD, one-time.
  • Enterprise Priority Support Renewal — optional, $997 USD per year. This renewal affects only the level of support; it does not affect your perpetual license or platform access.

One-time license purchases do not automatically renew. Detailed terms are set out in the applicable license agreement: Community, Business, and Enterprise.

2(b). Managed Website Service Subscription

The optional Managed Website Service (Section 15) is billed as a recurring monthly subscription: a one-time setup fee of $997 USD plus $250 USD per month for hosting and maintenance.

  • The monthly subscription automatically renews each month until cancelled.
  • Payment is processed through Stripe. If a monthly payment fails, we will retry the charge on the card on file (dunning) before suspending the service, as described in Section 15.
  • Cancellation, non-payment, refunds, and what happens to your live site and data are governed by Section 15.

3. Refund Policy

One-time license purchases. We offer a full refund if requested within 14 days of your initial license purchase. After 14 days, refunds are not available. The Enterprise Priority Support Renewal ($997/year) is non-refundable once processed. Refund terms are detailed in each license agreement.

Managed Website Service. The $997 setup fee covers design and build work performed by the operator; once that build work has begun it is treated as non-refundable. Recurring $250/month hosting payments are billed monthly in advance. If you cancel mid-cycle, the current month is not prorated and access continues through the end of the paid period; future months are not charged. (The enforceability and final wording of the setup-fee and proration terms require counsel review.)

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service to generate spam, phishing content, malware, or any illegal material.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service beyond what is publicly provided.
  • Share your account credentials or allow unauthorized third parties to access your account.
  • Overwhelm the Service with automated requests that exceed published rate limits.
  • Use the Service to violate the terms of service of any third-party API provider (Anthropic, xAI, DeepSeek, or others).
  • Scrape, harvest, or collect data from the Service for purposes unrelated to your authorized use.

5. Your API Keys & Data

The Service requires you to provide your own API keys for third-party AI providers (such as Anthropic, xAI, DeepSeek). You are solely responsible for:

  • The security of your API keys.
  • All costs incurred through those API providers as a result of using the Service.
  • Compliance with each provider's terms of service and usage policies.

For self-hosted deployments, we do not monitor, intercept, or store the content of your API calls, and your data processed through the Service belongs to you. This statement does not apply to the Managed Website Service. Where we host your site for you under Section 15, the operator necessarily stores and processes your site content and your end-users' / CRM data on the operator's infrastructure as your service provider; that arrangement is described in Section 15 and in our Privacy Policy.

5.1 AI Providers

The Service can route requests across the following third-party AI model providers. You are responsible for compliance with each provider's terms:

  • Anthropic (Claude — default model)
  • OpenAI (GPT)
  • Google (Gemini)
  • DeepSeek
  • xAI (Grok)
  • Perplexity

The platform uses 6 AI models across 4 routing tiers.

5.2 Content Provenance

Sites and artifacts generated by the Service may include cryptographic provenance metadata signed with an Ed25519 key and expressed using C2PA-aligned vocabulary. For honesty and to avoid misrepresentation: this provenance is C2PA-vocabulary-aligned but is NOT certified C2PA and is not issued under the C2PA conformance program. It is provided to aid transparency about AI-assisted generation and must not be represented as certified or accredited C2PA content credentials.

6. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by AI OS Orchestration Lab and protected by applicable intellectual property laws.

Content you create using the Service (agent outputs, reports, media, generated products) belongs to you, subject to the terms of the underlying AI providers whose models were used to generate that content.

7. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may experience downtime for maintenance, updates, or reasons beyond our control.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. Material changes to paid features will be communicated to subscribers with at least 30 days' notice.

8. Data Export & Portability

For self-hosted deployments, your data resides on your own server and remains directly accessible to you as files; the platform additionally provides website export (ZIP download or GitHub push) via Web Studio. For the Managed Website Service, export and post-cancellation data handling are governed by Section 15.4.

9. Limitation of Liability

To the maximum extent permitted by law, AI OS Orchestration Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will meet your specific requirements, that outputs generated by AI agents will be accurate or error-free, or that the Service will be available without interruption.

11. Indemnification

You agree to indemnify and hold harmless AI OS Orchestration Lab from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination for cause, your access is revoked immediately. You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active subscribers at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Managed Website Service

DRAFT — pending review by legal counsel; not final/binding. This entire section requires counsel review, including a Data Processing Agreement / GDPR Art. 28 processor addendum, client-content / DMCA / takedown terms, and the setup-fee refund and proration mechanics.

The Managed Website Service ("Managed Service") is an optional, done-for-you offering in which we ("the operator") design, build, and host a website on your behalf on the operator's virtual private server (VPS) infrastructure. It is separate from, and in addition to, the self-hosted licenses described in Section 2(a).

15.1 What the Managed Service Includes

  • We build your website and host it, together with its associated data, on the operator's VPS.
  • You receive a scoped client account on the operator's instance, limited to your own site(s) and workspace. Scoped client accounts do not have administrative access to the platform or to other clients' data.
  • We provide ongoing hosting and maintenance, including custom domain configuration and TLS certificates, for as long as your subscription is active and in good standing.

15.2 Fees & Recurring Billing

  • Setup fee: $997 USD, one-time, charged at the start of the engagement.
  • Hosting & maintenance: $250 USD per month, billed monthly in advance via Stripe, automatically renewing until cancelled.
  • The Managed Service is a monthly subscription. This is distinct from the one-time license purchases in Section 2(a); the recurring-subscription terms in these Terms apply to the Managed Service, not to license purchases.

15.3 Failed Payments & Dunning

If a monthly payment fails, Stripe will automatically retry the charge on the card on file over a short dunning period. We will attempt to notify you by email. If payment is not successfully collected after the retry period, your Managed Service may be suspended and ultimately cancelled as described in Section 15.4.

15.4 Cancellation, Non-Payment & What Happens to Your Site and Data

  • Voluntary cancellation. You may cancel the monthly subscription at any time. Your hosted site remains live through the end of the period you have already paid for; it is then taken offline.
  • Non-payment. If your subscription lapses for non-payment after the dunning period, your hosted site may be suspended (taken offline) and your scoped client access revoked.
  • Data retention & deletion. Following cancellation or termination for non-payment, we will retain your hosted site files and data for a grace period of 30 days, during which you may request an export. After the grace period, the hosted site and its associated data may be permanently deleted from the operator's VPS. (Final retention period and export mechanics require counsel review.)

15.5 Refund Treatment

The $997 setup fee covers design and build work and, once that work has begun, is treated as non-refundable. Monthly hosting fees are billed in advance and are not prorated on mid-cycle cancellation; access continues through the end of the paid month. See Section 3. (Enforceability requires counsel review.)

15.6 Data Handling for Managed Clients

For Managed Service clients, the operator stores and processes your site content and your own end-users' / CRM data on the operator's VPS in order to provide the service. The "we do not access/store your data" statements elsewhere in these Terms (Section 5) and in the self-hosted license agreements do not apply to the Managed Service. Our roles as data controller and data processor, the sub-processors involved (Stripe, the VPS host, and the AI providers listed in Section 5.1), and retention/deletion are described in the Privacy Policy. A formal Data Processing Agreement / processor addendum will govern this relationship and is pending counsel review.
